Would those upgrade my computer enough or would I need to spend even more money on a newer video card? I dislike overclocking btw

It should run fine at medium. The 550 Ti is basically an "entry-level" card, so don't expect too much. The Phenom will definitely boost performance over the old Athlon II, particularly when there are multiple players on screen, such as in WvW and/or events.

Make sure that the new motherboard will fit in your case. (Only a concern if your case is a smaller mATX size.) Also check that your power supply has a 24-pin motherboard connector (rather than the older 20-pin style)

If you don't mind me making an almost completely different suggestion..
Since you're not going to be overclocking anyway, I'd recommend avoiding AMD's lineup. They kind of beg to be overclocked to be justifiable. I'd recommend these instead:

And while the Hyper 212 you picked out is an excellent midrange cooler, you really aren't going to have that much heat to dissipate (that Phenom II draws more than twice as much power as the i3). I'd go with this instead, as the quality is the same but its cheaper, quieter and weighs less on your motherboard:

The i3-3220 is faster and more expensive than the Phenom II you picked out, but I think with the cheaper motherboard and cooler, you'll end up with a better system for basically the same cost. GW2 demands a lot of the processor, and if you don't want to overclock you need the best you can get for your budget. Plus, LGA-1155 may allow an i5 upgrade later on if you want it.
